Terms of Service

Effective September 22, 2026. These terms cover the saywhere.app website and the Saywhere app for Apple Vision Pro, iPhone and iPhone Duo.

1. Agreement

These Terms of Service (“Terms”) are an agreement between you and EZ Life Solutions Corp., 307 Erin Trail, Newmarket, Ontario L3Y 6K2, Canada (“we”, “us”). By joining the waitlist, using the website, or installing or using the Saywhere app (together, the “Service”), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Who can use Saywhere

You must be at least 16 years old and able to enter into a binding agreement, and you need an Apple Account in good standing. If you use Saywhere on behalf of an organization, you confirm that you can bind it to these Terms.

3. What Saywhere does

Saywhere turns text or voice prompts into “Glimpses” (360° panoramas), “Worlds” (walkable 3D scenes) and related content such as props, using AI models run by us and by third-party providers. Generation is not instant and can fail; when a generation fails we return the credits it cost. Outputs are produced by machine learning and may be inaccurate, unexpected, or similar to outputs generated for other people. Every generated image and world is labelled “Generated with AI”.

Some features depend on the device you use. Full immersion, doorway mode and Personal Environment export need Apple Vision Pro running visionOS 27; iPhone features need iOS 27 or later. We may add, change or retire features over time.

4. Your account

You sign in with Apple. Keep your device and Apple Account secure; you are responsible for what happens under your account. Tell us at once if you think it has been misused. You can delete your account at any time in Settings → Account.

5. Credits and purchases

• Credits. Generation is paid for with credits bought as consumable in-app purchases through Apple. Prices are shown in the app before you buy. Credits are a licence to use the Service; they are not money, earn no interest, cannot be redeemed for cash and cannot be transferred except through the gifting features we offer in the app.
• Credits never expire. Purchased credits stay on your account until you use them. If we ever discontinue Saywhere we will give at least 60 days’ notice so you can use what you have.
• Season Pass. The Season Pass is a non-renewing 90-day purchase. It does not renew by itself; buy a new one when it ends if you want to continue. Weekly worlds included in a pass must be claimed within the window shown in the app.
• Optional subscription. If you choose the auto-renewing Dreamer+ plan, Apple charges your Apple Account at each renewal until you cancel in your Apple Account settings at least 24 hours before the current period ends. Included credits roll over up to the cap shown in the app.
• Gifts. Gifted credits and worlds are delivered inside Saywhere. Refunds for gifts can only be issued to the purchaser, under Apple’s policies.
• Refunds and restore. Apple processes all payments and refunds. Request a refund at reportaproblem.apple.com. Use Credits → Restore purchases to restore purchases on a new device; your balance is tied to your account and synced across your devices.
• Free content. Starter worlds, cached Glimpses and streak rewards may be offered for free. We can change or end free offers at any time; they carry no cash value.

6. Your content and what you make

Prompts. You keep all rights in the prompts you write and the voice prompts you speak.

Outputs. As between you and us, you own the Glimpses, Worlds and other outputs generated from your prompts, subject to the terms of the AI providers involved (for example, World Labs grants owners of paid generations the rights to their outputs, including commercial use). You may use your outputs for any lawful purpose. Because outputs come from machine learning, some may not be protected by copyright in your country, and similar outputs may be produced for other users.

Licence to us. So that Saywhere can work, you give us a worldwide, royalty-free licence to store, copy, process, transmit, display and back up your prompts and outputs, to generate previews and derived formats, and, if you publish something, to show it to other users and let them visit and remix it inside the Service. This licence lasts as long as your content is on the Service, plus a short time for backups and for remixes others made while it was public. You can unpublish content at any time.

Personal Environments and exports. Panoramas you export to Photos are yours to keep and use as your device allows.

7. Community rules

Saywhere is for making places, not for hurting people. You must not use the Service to create, publish or share content that:

• is sexual or pornographic, or sexualizes anyone, and never anything involving minors;
• impersonates a real person, or depicts a real, identifiable person without their consent;
• promotes hatred, harassment, violence, terrorism or self-harm, or targets people by race, ethnicity, religion, gender, sexual orientation, disability or similar characteristics;
• infringes someone else’s copyright, trademark, privacy or other rights;
• is illegal where you or we are, or asks other users to break the law;
• contains malware, spam, scams or attempts to collect other people’s data.

You also agree not to try to bypass our content checks, credit system or rate limits; not to scrape, reverse-engineer or resell the Service or its outputs as a competing service; and not to disrupt other users’ sessions, including SharePlay visits.

8. Moderation, reporting and blocking

Prompts are checked against our rules before generation, and generated images are checked afterwards. Anyone can report a world, a Glimpse or a user from inside the app or through our support page. We review reports promptly, normally within 24 hours, and remove content that breaks these Terms. You can block any user; blocked users cannot visit your worlds or interact with you. If we remove your content or restrict your account, we will tell you why and you can appeal by writing to support@saywhere.app.

Repeated or serious breaches can lead to suspension or termination of your account. Termination for a serious breach ends your access to the Service, including any unused credits; Apple’s refund rules apply.

9. Sharing and visiting

When you host a SharePlay session or a nearby visit, other participants can see and hear your world and the content you choose to show inside it, such as a browser or video. You are responsible for what you show. Participants must follow the community rules; hosts can end a session at any time.

10. Third-party services

Saywhere relies on Apple (App Store, Sign in with Apple, SharePlay, Personal Environments), World Labs, Replicate, OpenAI, Anthropic, Cloudflare, Railway, Supabase, PostHog and Sentry. Their availability affects ours, and their terms apply to their services. Content you view through the in-world browser belongs to the sites you visit.

11. Our intellectual property

The Service, its software, design, names and logos belong to EZ Life Solutions Corp. or our licensors. We give you a personal, non-transferable, revocable licence to use the app on Apple devices you own or control, as allowed by the App Store rules. Ideas or feedback you send us can be used freely by us without any obligation to you.

12. Disclaimers

The Service is provided “as is” and “as available”. To the extent the law allows, we make no warranties about it, including that it will be uninterrupted or error-free, or that generated content will meet your expectations. Generated content is not advice of any kind. Some jurisdictions do not allow these exclusions; where that is the case, they apply only as far as the law permits.

13. Limitation of liability

To the extent the law allows, EZ Life Solutions Corp. and its directors, employees and suppliers are not liable for indirect, incidental, special or consequential damages, or for lost profits, data or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and CAD $50. Nothing in these Terms limits liability that cannot be limited by law, including under the Ontario Consumer Protection Act, 2002, or removes rights you have as a consumer where you live.

14. Indemnity

If someone brings a claim against us because of content you created, published or shared through the Service in breach of these Terms, you agree to cover the reasonable costs and damages that result, as far as the law allows.

15. Ending the agreement

You can stop using Saywhere and delete your account at any time. We can suspend or end your access if you breach these Terms, if the law requires it, or if we discontinue the Service with the notice described in section 5. Sections 6, 11, 12, 13, 14 and 17 survive termination.

16. Changes to these Terms

We may update these Terms as the Service grows. For changes that matter we will notify you in the app or by email at least 30 days before they take effect. Continuing to use the Service after that date means you accept the new Terms.

17. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Disputes will be heard by the courts of Ontario, and you and we agree to their jurisdiction, except that you may rely on any consumer-protection rights and forums available where you live. Before going to court, please write to us; most problems can be solved by email.

18. Terms required by Apple

• These Terms are between you and EZ Life Solutions Corp. only, not Apple. We, not Apple, are responsible for the app and its content.
• Your licence to the app is limited to Apple-branded devices you own or control, as set out in the App Store Terms of Service, including family sharing where Apple allows it.
• We, not Apple, provide maintenance and support. Apple has no obligation to provide any support for the app.
• If the app fails to conform to any warranty, you may notify Apple and Apple will refund the purchase price of the app to you, if any. To the extent the law allows, Apple has no other warranty obligation for the app.
• We, not Apple, are responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and consumer-protection or similar claims.
• If a third party claims that the app infringes its intellectual property rights, we, not Apple, are responsible for investigating, defending, settling and discharging the claim.
• You confirm that you are not located in a country subject to a Canadian or U.S. government embargo or designated as a “terrorist supporting” country, and that you are not on any Canadian or U.S. government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
